TERMS AND CONDITIONS OF OLEM EDGE GLOBAL CONCEPT

This terms and conditions become effective, immediately, today February 3, 2020

Below are the terms and conditions that you must agree to before using any of our services at OLEM EDGE GLOBAL CONCEPT.

This Agreement (the use of our services as contained herein) is a contract between you and OLEM EDGE GLOBAL CONCEPT (comprising all our sites: www.olemedge.com, www.hierarchymagazine.olemedge.com, www.trainings.olemedge.com, www.epublishing.olemedge.com and www.lec.olemedge.com) applying to your use of any of the OLEM EDGE GLOBAL CONCEPT services and any of our related sites.

If you do not agree to be bound by the terms and conditions of this Agreement, you may not use any of our sites or services.

We, OLEM EDGE GLOBAL CONCEPT, reserve the right to amend this Agreement at any time by posting a revised version on this website. Except if otherwise stated, all amendments shall be effective thirty (30) days after publication on any of our sites. Notice of changes to this agreement will be posted on all our websites, as well as, on our social media accounts.

In this Agreement, “you” or “your” or “buyers” means any person or entity (“Users”) using the Services that we render or buying from those who use our services. Unless otherwise stated, “OLEM EDGE GLOBAL CONCEPT“, “we” or “our” will refer collectively to OLEM EDGE GLOBAL CONCEPT, its officers, directors, agents, subsidiaries, joint ventures, employees and suppliers.

The terms of this Agreement are deemed to be part of the conditions for using our services and no other terms will apply unless all or any part of this Agreement is otherwise agreed to by both parties, placed in writing and duly executed by each party.

1.0 Eligibility

Both Sellers and Buyers of products and services can use the services that we provide from any of our sites. Unless otherwise stated, all provisions in this Agreement apply to both Sellers and Buyers.

You agree that any information you give to us (“User Information”) will stay in our records until termination of this Agreement, for whatever reason, in which case such information will be removed from our systems and/or returned to you and/or destroyed.

You agree that we do not need additional consent to store, use and transmit data to third parties provided that this is strictly necessary for the performance of our customer support duties as agreed.

1.1 Warranties

You represent and warrant that all of the following are true of you from your entry into this Agreement until the termination of your use of our services (where applicable): your name, email address, business address, phone number and other information that we may require.
If you are an entity (business) or an individual, you have the legal capacity to enter into this Agreement and perform the obligations represented within it.
If you are an individual, then you are at least 18 years of age and do not require the consent, approbation or approval of any other person or entity to conclude a contractual obligation of the type represented in this Agreement. If you are 16 years (and below) then you need the approval of a guardian before using any of our services.
Your execution of and performance under this Agreement in no way violates any legal obligation of the seller(s), including any agreement between or among seller(s) and any third party(ies).
If you are a seller, we recognise and relate with products you sell through our website (epublishing.olemedge.com), and only products that are available for downloads, which we have vetted shall be sold on the site. You are also recognised as a seller when you place adverts on www.hierarchymagazine.olemedge.com/ – by which buyers could locate your business, services or products.
You offer products for sale only if you have the legal right to market and sell such products in all applicable jurisdictions.
You maintain the value and reputation of OLEM EDGE GLOBAL CONCEPT to the best of your ability.
You conduct your business affairs (especially with us) according to the terms and intent of this Agreement and in compliance with all applicable laws and regulations.
You do not use our services for any activities considered fraudulent or illegal under any laws or regulations in any applicable jurisdiction.
If you are a seller, you have had ample opportunity to obtain legal advice regarding the legal effects of this Agreement. You can deliver your full legal name, street address, telephone number and email address by postal mail or email to your buyer(s) and grant OLEM EDGE GLOBAL CONCEPT access to records of this correspondence.
You will refrain from using abusive and vulgar language with OLEM EDGE GLOBAL CONCEPT employees, whether through email, blog comments or phone support. Abusive conduct will not be tolerated and will result in account and/or services termination.
You agree that OLEM EDGE GLOBAL CONCEPT may (securely) file your products for personal record purposes.

2.0 Liability

2.1 Our Liability

If you have a dispute with one or more users (sellers, buyers or anyone who uses our services to provide other services), you release OLEM EDGE GLOBAL CONCEPT from any and all claims, demands and actual/consequential damages related to your transaction(s) with said user(s) unless this results from wrongful or negligent acts attributable to us. We provide our services “as is” without any warranty or condition.

OLEM EDGE GLOBAL CONCEPT makes reasonable efforts to ensure that requests for electronic debits and credits, as well as, direct bank payments (involving bank accounts), credit cards and check issuances are processed promptly. We make no representations or warranties regarding the amount of time needed to complete transactions or full delivery of service(s) because our services are largely dependent on many factors outside of our control, including but not limited to denial-of-service, attacks, insurrection, fires, flood, storm, explosions, acts of God, war, terrorism, and labour conditions.

Under no circumstances shall we be liable for any lost profits, special, incidental or consequential damages arising out of or in connection to any of our sites, our services or this Agreement. Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages so the above limitation or exclusion may not apply to you. Under no circumstances shall our liability to you exceed the amount of the revenue earned from transactions carried out by you in the three months prior to the event leading to liability.

You agree to indemnify and hold OLEM EDGE GLOBAL CONCEPT harmless from any claim or demand, including attorneys’ fees, made or incurred by any third party due to or arising out of your breach of this Agreement, by the document it incorporates or by your violation of any law or third-party rights related to your use of any of our services.

You agree that if either you or OLEM EDGE GLOBAL CONCEPT begin litigation or arbitration, the prevailing party is entitled to recover reasonable attorneys’ fees and any other costs incurred in addition to any other relief to which the prevailing party may be entitled.

You agree to indemnify and hold OLEM EDGE GLOBAL CONCEPT harmless for unauthorised use of our platforms (social media and others), and any of our sites. It is very important to contact us immediately if you believe someone (user(s) or buyer(s) is breaching your rights. Notifying us as soon as possible will limit your liability.

2.2 Your Liability

If you do not report unauthorised breach of your rights by another user(s) on all our sites or buyer(s) via www.epublishing.olemedge.com of OLEM EDGE GLOBAL CONCEPT, you will be liable for any resulting damages. We will do what we can to recover funds and address the breache(s), but if we are unable to recover them, you will assume responsibility for the losses.

In the case of submitting contents to be published for sales on www.epublishing.olemedge.com, your contents remain confidential between you and us until finally published. If you released details of your contents to a third-party and there is a violation of your rights – you will bear the damages arising from such actions.

Please note that all activities performed on our sites by user(s) or buyer(s) account while logged in will be assumed as performed by the account holder. The account holder also understands that delegating authority to operate his/her account amounts to ownership of any and all activities performed on his/her account. This includes but not limited to:

Account registration and verification.
Products purchases/sales.
Adverts placements on Hierarchy Magazine.
Account updates.

You are responsible for performing your due diligence on any sellers (who place adverts with us or as a result of our services) with whom you plan on doing business. If you neglect to perform due diligence on a seller and do not receive an item you paid for or receive an item that does not appear as the seller described it, you will be liable for any resulting damages. However, if you file a transaction dispute, we will do our best to mediate a resolution that will benefit all parties involved.

Under no circumstances will you be liable for any lost profits, special, incidental or consequential damages arising out of or in connection to this Agreement. Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages so the above limitation or exclusion may not apply to us. Under no circumstances shall your liability to us exceed the amount of the revenue earned from transactions carried out by you in the three months prior to the event leading to liability.

3.0 Agency Relationship

OLEM EDGE GLOBAL CONCEPT serves as agents for users of our services and, also, use agents for the same purposes.

By initiating services that make us serve as agents (for you) we assume full representations of your business/organisation (throughout the period of the service(s) applied for) in all ramifications, including payment and delivery of services, and you agree to relate with our agents as true representatives of our organisation (confirmation of all agents is required by any users).

In the case of you using an advertiser’s services (published on www.hierarchymagazine.olemedge.com) – resulting to profits loss, damages or violations, you agree that OLEM EDGE GLOBAL CONCEPT will not be involved in any lawsuits or litigations. Hence, you are required to confirm offers from advertiser
before applying for such services.

4.0 Usage of Our Sites

you agree to be bound with the various requirements under each of the services we provide in this primary website, and conduct your transactions with us without manipulations and to be true to the information that you release to us, at all times.

4.1.2 Initiating services

Every user of our services must request for the use of any services and must be ready to be bound by this Terms and Conditions before proceeding to use our services for his/her business, products or services.

There must be a formal written agreement, including this Terms and Conditions, to specifically address the services in need by clients, users.

4.1.3 Payment of Charges

Clients, users must note that every service applied to, from us, attracts a 7.5% Value Added Tax, VAT, and that there must be a down payment of 80% of the total charges of service(s) needed.

In this case, the total charges refer to costs of any services and the VAT applicable.

While the remaining 20% must be paid in not less than three (3) weeks after the payment of the down payment (80%) or as may be agreed to between a client, clients and OLEM EDGE GLOBAL CONCEPT.

Except where otherwise stated in the formal written agreement, we may not allow users or clients to follow the process of down payment of 80% of total charges and balancing the remaining 20% in not less than three (3) weeks after the payment of the down payment (80%) or as may be agreed to between a client, clients and OLEM EDGE GLOBAL CONCEPT.

Clients are at liberty to choose a suitable payment platform from all the ones provided by us, unless otherwise restricted by us.

4.2 Usage of Our services on www.hierarchymagazine.olemedge.com

4.2.1 HIERARCHY MAGAZINE – WWW.HIERARCHYMAGAZINE.OLEMEDGE.COM

www.hierarchymagazine.olemedge.com is the secondary website of OLEM EDGE GLOBAL CONCEPT – linking to our primary website, including our social media platforms.

You agree to be bound with the various requirements under each of the services we provide in this secondary website, and conduct your transactions with us without manipulations and to be true to the information that you release to us, at all times.

4.2.2 Initiating services

Where deemed fit by US, there must be a formal written agreement, including this Terms and Conditions, to specifically address the services in need by clients, users.

It should be noted by users or clients that the services available through this site include:

Publicity services, and
Advertising services only.

4.2.3 Payment of Charges

You agree to be bound with the various requirement under each of the services we provide in this secondary website, and conduct your transactions with us without manipulations and to be true to the information that you release to us, at all times.

4.3.2 Initiating services

Most of the time, services under this website are initiated by us, unless a user of our services is requesting for a private session of the services we provide in it: such clients must be ready to be bound by this Terms and Conditions before proceeding to use our services for his/her business, products or services.

Where deemed fit by US, there must be a formal written agreement, aside (but incorporating) this Terms and Conditions, to specifically address the services in need by clients, users.

It should be noted by users or clients that the services available through this site include:

Training services (in-house), and
Training services (private sessions).

4.3.3 Payment of Charges

Clients, users must note that every service applied to, from us, attracts a 7.5% Value Added Tax, VAT, and that there must be a down payment of 80% of the total charges of service(s) needed.

There could be a formal written agreement, aside (but incorporating) this Terms and Conditions, to specifically address the services in need by clients, users, especially, for those who are using the free publishing services.

It should be noted by users or clients that the services available through this site include:

Silver Category Publishing, and
Free Category Publishing.

4.4.3 Payment of Charges

Clients, users must note that every service applied to, from us, attracts a 7.5% Value Added Tax, VAT, and that there must be a down payment of 80% of the total charges of service(s) needed.

In this case, the total charges refer to costs of any services and the VAT applicable.

4.4.4 Sending funds

OLEM EDGE GLOBAL CONCEPT releases funds to sellers on agreed terms over the sales of all products by any third-parties.

OLEM EDGE GLOBAL CONCEPT does not pay to anyone that a seller might be owing any sum of money. We pay royalties to rightful product owners who can, then, use the money at their own discretions.

OLEM EDGE GLOBAL CONCEPT may sell products to other countries, and we have the right to calculate royalty payment to sellers, as we may deem it fit, on the quantities purchased in foreign currencies.

4.5 Usage of Our services on www.lec.olemedge.com

4.5.1 ELECTRONIC Pub – WWW.LEC.OLEMEDGE.COM

www.lec.olemedge.com is the secondary website of OLEM EDGE GLOBAL CONCEPT – linking to our primary website, including our social media platforms.

You agree to be bound with the various requirements under each of the services we provide in this secondary site, and conduct your transactions with us without manipulations and to be true to the information that you release to us, at all times.

4.5.2 Initiating services

We usually initiate services in this site but every interested user could also request for the use of any services available and must be ready to be bound by this Terms and Conditions before proceeding to use our services for his/her business, products or services.

It should be noted by users or clients that the services available through this site include:

Premium Sponsorship Category,
Gold Sponsorship Category,
Silver Sponsorship Category, and
Bronze Sponsorship Category.

All these categories have their uniqueness stated in the formal agreement submitted to every client, whether we initiated the process or such client initiated the process.

4.5.3 Payment of Charges

Clients, users must note that every service applied to, from us, attracts a 7.5% Value Added Tax, VAT, and that there must be a down payment of 80% of the total charges of service(s) needed.

In this case, the total charges refer to costs of any services and the VAT applicable.

While the remaining 20% must be paid in not less than three (3) weeks after the payment of the down payment (80%) or as may be agreed to between a client, clients and OLEM EDGE GLOBAL CONCEPT.

Clients are at liberty to choose a suitable payment platform from all the ones provided by us, unless otherwise restricted by us.

5.0 Receiving Funds

OLEM EDGE GLOBAL CONCEPT receives all funds from buyers on behalf of all seller (on www.epublishing.olemedge.com).

All buyers or users have the provision to choose the best method(s) of payment on our websites except where there is no provision of payment options.

We, legally, receive personal information from buyers at the point of making payment for the needed services from us.

We do not allow recurring payment on sales of products on www.epublishing.olemedge.com, which means that buyer(s) come to buy any products and pay once until they need to purchase same or other products.

Every payment made to us attracts a 7.5% Value Added Tax, VAT, no matter the methods of payment.

In the case of donations to our programmes on www.lec.olemedge.com there is a provision for donors to choose the best option or donating category they prefer. The same apply to sponsors – there is a provision for any organisation or individual (interested) to sponsor our programmes to choose the category that suits most.

6.0 Resolutions

6.1 Transaction Disputes

Disputes between a buyer and a seller (especially regarding adverts published on www.hierarchymagazine.olemedge.com) must be reported (by the seller/advertiser) through our contact details. Claims must be filed within 2 days of the transactions.

When handling a dispute, OLEM EDGE GLOBL CONCEPT will take into consideration the Seller’s Terms of Service to which the buyer agreed at the time of purchase. If the service or product has not been delivered as stated, OLEM EDGE GLOBAL CONCEPT policy will be used in place of the Seller’s Refund Policy.

6.2 Buyer Protection Policy

When payment is made for any purchase of product and/or services by the buyer via www.hierarchymagazine.olemedge.com, the buyer is expected to report any inconsistence of the products within two (2) days if there is any.

We do our best to provide protection for both the seller and the buyer alike. Some of our dispute resolution and refund processes are summarised below. Be sure to read through before contacting us for any resolution.

6.2.1 Dispute Resolution

When a buyer is not satisfied with a purchase from a seller, the buyer can file a dispute resolution within 2 days of the completed payment. We will do our best to mediate a fair resolution between both parties.

If the resolution results in a refund for the buyer, the seller and buyer will part with the total amount (50% each) involved in dispute resolution.

However, if the resolution does not result in a refund for the buyer, the seller is fined for the resolution cost.

We encourage the seller and the buyer to communicate and reach a mutually agreeable resolution. This will reduce the possibility of refunds which may result in a fine for both parties.

6.2.2 Refunds

If a buyer has filed our dispute resolution with respect to a transaction, the buyer and/or the seller may be required to provide some or all of the following details:

Proof of physical postage/delivery, email delivery, refund and/or replaced product.
A copy of the original item/service descriptions.
Return/Refund Policy (from seller) applicable to the buyer at the time of purchase.
Terms and conditions agreed to by the buyer prior to purchase.

6.3 Seller Protection Policy

The Sellers are protected from unjust claim from any Buyer. If any issue is resolved in favour of the Seller, the buyer pays a fine and may be banned from using the services on OLEM EDGE GLOBAL CONCEPT.

6.4 Contacting the Seller

Before filing a claim, buyer must contact the seller and attempt to resolve the dispute. Most disputes are solved with proper communication. If disputes cannot be resolved this way, then buyer you can file a report to OLEM EDGE GLOBAL CONCEPT via our contact details.

After a buyer files a dispute, we will send a “Contact Request” to the seller in hopes of resolving the issue. The Buyer must respond to this email if the issue has not been resolved, otherwise the dispute will be closed. Furthermore, it is not permitted to alter either party’s email reply; all information, including emails, should be included in their original format. We ask that all email communications take place using the same email address as the one used to open the dispute.

6.5 Submitting a Dispute to Us

Buyers may only submit one dispute per transaction, product or service used. Submitting multiple disputes for a single issue may result in the closure of the dispute without resolution for the inconvenience.

OLEM EDGE GLOBAL CONCEPT will only intervene if there is a clear policy violation. OLEM EDGE GLOBAL CONCEPT’s involvement and final decision protects buyers from fraudulent sellers and protects sellers from false allegations of fraud.

Before a buyer files complaint, he/she should review the Seller’s Refund Policy and Terms of Service. If after reviewing the Refund Policy and ToS the buyer still believes that the seller has failed to provide the Product or Service as stated and/or if the buyer is entitled to a refund as stated by the seller, the buyer may file a complaint.

If buyer’s claim is justified, OLEM EDGE GLOBAL CONCEPT will attempt to collect funds from the seller. Both parties agree to a binding resolution rendered by OLEM EDGE GLOBAL CONCEPT. We reserve the right to limit resolution requests if the buyer has not done due diligence on the seller prior to making a purchase or sending funds. Once a dispute has been closed, it cannot be re-opened or disputed again.

Before a buyer can report a dispute, the following conditions must be satisfied:

Buyer must provide the evidence of seeing and purchasing seller’s products or services (as a result of advertisement) on our site hierarchymagazine. olemedge.com.
Buyer must submit complaint on or before 2 days after purchase of service(s). Failure to do this revokes buyer’s complaint. The complaint must include the following: Transaction/Teller Number, Email used for order, Date of the transaction, amount and payment method, The Product/Service purchased from seller.

7.0 Acceptable Use Policy and Activities Not Allowed

7.1. Activities Not Allowed

The sale, solicitation, offering, exchange or service of the following (through the use of our services or sites):

Tobacco products and related paraphernalia.
Pharmaceutical and controlled substances.
Imitation and replica clothing and accessories.
Drugs and related paraphernalia (including but not limited to research chemicals and illicit herbal incense)
Pre-adult content, such as pictures, videos, etc.
Illegal downloads or any other goods and services infringing intellectual property rights of a third party, including streaming video/audio.
Sites that promote hatred, racism, sexism, religious persecution and/or any other prejudicial views.
Hazardous materials, combustibles and/or corrosives.
Weapons.
Misleading information that jeopardises other people’s lives and properties.

The following activities are also not allowed through or in relation to OLEM EDGE GLOBAL CONCEPT:

Money laundering.
Infringing on any third party’s copyright, patent, trademark, trade secret or other property rights or rights of publicity or privacy.
Violation of any law, statute, ordinance, contract or regulation, including but not limited to those governing financial services, consumer protection, unfair competition, anti-discrimination or false advertising.
Submission of altered verification documents.
Being misleading, false or inaccurate in respect to OLEM EDGE GLOBAL CONCEPT or any other User.
Any defamatory, trade, libelous contents unlawfully threatening or harassing statements or information.
Spamming.
Using OLEM EDGE GLOBAL CONCEPT as a virtual terminal.
Transmitting personal information of other OLEM EDGE GLOBAL CONCEPT members to third parties.
Using the OLEM EDGE GLOBAL CONCEPT brand to market or advertise your product(s)/service(s) when you are not a recognised agent by us.
Threatening legal action against OLEM EDGE GLOBAL CONCEPT and/or OLEM EDGE GLOBAL CONCEPT employees.

Furthermore, anything that directly causes us to lose or become liable for, in whole or in part, the services of our sponsors, Internet Service Providers or other suppliers is not allowed. If you use or attempt to use our Services for purposes other than selling products, advertising products/services, and/or applying for our services, including but not limited to tampering, hacking, modifying or otherwise corrupting the security or functionality of the Services, you will be subjected to damages and other penalties, including criminal prosecution if necessary.

7.2 Monetary Penalties

If you are found by a competent judicial body to be in violation of this User Agreement and all terms, herein, we reserve the right to fine you a penalty as may be named by the competent judicial body.

We further reserve the right to penalise any and all fraudulent or negligent Sellers for using OLEM EDGE GLOBAL CONCEPT as Customer Support for their business, for excessive refunds, transaction disputes, complaints, excessive burden, creating liability and damaging our credibility among our members and professional partners.

7.3 Use of Other Services Providers

Buyers and Sellers are allowed to use other services providers that have no relations with us.

A user of our services may request that we render services for him/her with another services provider(s) by which we serve the user as an agent to the services providers(s).

A user of our services might terminate the continuous use of our services after observing the appropriate procedure as agreed to in the formal agreement exchanged between OLEM EDGE GLOBAL CONCEPT and such client.

8.0 Additional Terms

OLEM EDGE GLOBAL CONCEPT‘s failure to enforce any provision of these terms is not an allowance of such provisions. It is Our right to act with respect to subsequent or similar breaches and enforce such provisions.

This Agreement is governed by and interpreted under the laws of the Federal Republic of Nigeria as such laws are applied to agreements entered into and to be performed entirely within the Federal Republic of Nigeria.

The parties hereto agree that this agreement is drafted and executed in the English language. In the event that any indemnification applies in this Agreement then The indemnified party shall notify the indemnifying party of any such loss or claim and expense as soon as it first arises to give the indemnifying party opportunity to mitigate its own potential exposure which will include giving the indemnifying party sole right to conduct and/or settle (on terms approved by the indemnified party, such approval not to be unreasonably withheld or delayed) all negotiations and/or the claim, all costs incurred or recovered in such negotiations or claim being for the indemnifying party’s account and the indemnified party shall take all reasonable steps to prevent further loss or to mitigate loss or damage already occurred, but the indemnified party shall not, without the consent of the indemnifying party, take any steps to compromise or settle the claim.
